1. Acceptance of These Terms
These Terms of Use (“Terms”) govern Your access to and use of the Time Flies mobile application (the “Application” or “Service”), provided by Calibre Integrated Works Ltd, doing business as Calibre Works (“the Company,” “We,” “Us,” or “Our”), a company located at 97 Ebitu Ukiwe St, Jabi, Abuja, Nigeria.
By downloading, installing, accessing, or using the Application, You agree to be bound by these Terms. If You do not agree to these Terms, do not use the Application.
2. Eligibility
You must be at least 13 years old to use the Application. By using the Application, You represent and warrant that You meet this age requirement and that You have the legal capacity to enter into these Terms. If You are using the Application on behalf of an organization, You represent that You have the authority to bind that organization to these Terms.
3. License to Use the Application
3.1 Grant of License
Subject to Your compliance with these Terms, We grant You a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on a device that You own or control, solely for Your personal, non-commercial use.
3.2 Restrictions
You must not:
Copy, modify, or create derivative works of the Application
Reverse engineer, decompile, or disassemble the Application, except where permitted by applicable law
Rent, lease, sell, sublicense, or otherwise transfer rights to the Application
Remove, alter, or obscure any proprietary notices on the Application
Use the Application for any unlawful purpose or in violation of these Terms
Use any automated system, bot, or scraper to access or interact with the Application
4. Accounts
4.1 Account Creation
Certain features of the Application may require You to create an account, including through Third-Party Social Media Services such as Google or Apple. You agree to provide accurate, current, and complete information when creating Your account.
4.2 Account Security
You are responsible for maintaining the confidentiality of Your account credentials and for all activities that occur under Your account. You agree to notify Us immediately of any unauthorized use of Your account.
5. Subscriptions and In-App Purchases
The Application may offer optional paid features, subscriptions, or in-app purchases. Where applicable, billing is processed through the Apple App Store or Google Play Store, and is subject to their respective payment terms, refund policies, and billing cycles. We do not directly process or store Your payment card information.
Subscription auto-renewal, cancellation, and refund requests are managed through the app store account You used to make the purchase, in accordance with that platform’s policies.
6. Alarms, Reminders, and Notifications
Time Flies provides scheduling, reminder, and alarm functionality, which may rely on Your device’s operating system, notification settings, and system-level alarm frameworks (such as Apple’s AlarmKit).
While We design the Application to deliver alarms and reminders reliably, We do not guarantee that any alarm, reminder, or notification will be delivered or will trigger as expected in every circumstance. Delivery may be affected by factors outside Our control, including but not limited to device settings, operating system restrictions, battery optimization, network connectivity, or device hardware or software failures.
You acknowledge that the Application should not be relied upon as the sole means of waking up for, or being reminded of, any time-critical or safety-critical matter, and that We are not liable for any loss, damage, missed appointment, or other consequence resulting from a missed, delayed, or failed alarm or notification.
7. AI Agent Features
The Application includes an AI-powered agent that uses natural language input to help You create, manage, and organize activities, reminders, and routines. This feature is powered by Google’s Gemini API.
The AI agent’s responses, scheduling suggestions, and interpretations of Your input are generated automatically and may occasionally be inaccurate, incomplete, or not reflect Your intended meaning. You are responsible for reviewing and confirming any activity, reminder, or alarm created or modified through the AI agent before relying on it.
The AI agent is not a substitute for professional advice of any kind, including medical, legal, or financial advice, and should not be used as such.
8. User Content
Any text, routine information, or other content You input into the Application (“User Content”) remains Yours. By submitting User Content, including content sent to the AI agent, You grant Us a limited license to use, process, and store that content solely for the purpose of operating, maintaining, and improving the Service.
You are solely responsible for the User Content You submit and represent that it does not violate any applicable law or third-party right.
9. Prohibited Conduct
In using the Application, You agree not to:
Use the Application to harass, abuse, or harm another person
Submit content that is unlawful, defamatory, fraudulent, or infringes any third-party right
Attempt to gain unauthorized access to the Application, other accounts, or the systems or networks supporting the Service
Interfere with or disrupt the integrity or performance of the Application
Use the Application in any manner that could disable, overburden, or impair its functioning
10. Intellectual Property Rights
The Application, including its design, features, graphics, text, and underlying software, is owned by the Company and is protected by applicable intellectual property laws. Except for the limited license granted in Section 3, nothing in these Terms transfers any ownership rights in the Application to You.
“Time Flies,” “Calibre Works,” and “Calibre Integrated Works,” along with associated logos, are trademarks of the Company. You may not use these marks without Our prior written consent.
11. Third-Party Services
The Application integrates with or relies on certain third-party services, including but not limited to Apple and Google sign-in, Google’s Gemini API, and analytics providers described in Our Privacy Policy. Your use of these third-party services may be subject to their own terms and policies, over which We have no control and for which We assume no responsibility.
12. Disclaimer of Warranties
THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
We do not warrant the accuracy, completeness, or reliability of any content generated by the AI agent, or that any alarm, reminder, or notification will be delivered as expected.
13. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or relating to Your use of, or inability to use, the Application — including, without limitation, damages arising from a missed alarm or reminder, or reliance on AI-generated content.
To the extent permitted by law, the Company’s total aggregate liability for any claim arising out of or relating to these Terms or the Application shall not exceed the amount, if any, You paid Us in the twelve (12) months preceding the claim.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
14. Indemnification
You agree to indemnify and hold the Company, its officers, employees, and affiliates harmless from any claim, demand, loss, or damages, including reasonable legal fees, arising out of Your use of the Application or Your violation of these Terms.
15. Termination
We may suspend or terminate Your access to the Application at any time, with or without notice, if We believe You have violated these Terms or for any other reason at Our discretion. You may stop using the Application and delete Your account at any time.
Upon termination, the license granted to You under these Terms will immediately end. Provisions of these Terms that by their nature should survive termination will continue to apply.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Application shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts located in Abuja, Federal Capital Territory, Nigeria.
17. Changes to These Terms
We may update these Terms from time to time. We will notify You of material changes by updating the “Last updated” date at the top of these Terms and, where appropriate, through an in-app notice. Your continued use of the Application after changes take effect constitutes Your acceptance of the revised Terms.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
